Terms and Conditions
Preppy Prep LLC

Welcome to Preppy Prep. These Terms and Conditions ("Terms") govern your use of the Preppy Prep LLC website, educational services, courses, events, memberships, digital products, and related services (collectively, the "Services").
By accessing or using our Services, registering for classes, purchasing products, attending events, or interacting with our content, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Company Information
Preppy Prep LLC ("Preppy Prep," "Company," "we," "our," or "us") is an educational company providing investing and financial literacy education. Preppy Prep LLC is organized under the laws of the State of Oklahoma.

2. Educational Purposes Only
Preppy Prep content is designed to improve financial literacy, encourage educational discussion, and support independent learning. Users remain solely responsible for their own financial decisions and outcomes.
All content, classes, materials, presentations, discussions, coaching, workshops, webinars, and educational resources provided by Preppy Prep are intended solely for educational and informational purposes.
Preppy Prep does NOT:

provide personalized investment advice;

act as a registered investment advisor;

act as a broker-dealer;

provide legal, tax, accounting, or fiduciary services;

recommend specific securities or investment strategies for individual circumstances; or

provide portfolio management.
You acknowledge that investing involves risk, financial markets fluctuate, losses may occur (including loss of principal), and past performance does not guarantee future results. You should consult qualified, licensed professionals before making financial, tax, or investment decisions.
Nothing presented by Preppy Prep should be interpreted as a recommendation to buy or sell securities, individualized financial planning, or professional investment guidance.
Participation in Preppy Prep Services does not create an advisor-client relationship, fiduciary relationship, brokerage relationship, or professional advisory relationship of any kind.

3. No Guarantees or Earnings Claims
Preppy Prep makes no guarantees regarding investment performance, financial success, profitability, income generation, wealth creation, or future financial outcomes.
Any examples, illustrations, hypothetical scenarios, testimonials, or educational demonstrations are provided solely for illustrative purposes and should not be interpreted as guarantees or promises of results. Individual results will vary.

4. Eligibility and Minors
By using our Services, you represent that you are at least 18 years old, or that you are using the Services under the supervision and consent of a parent or legal guardian.
Minimum Age. The Services, including any online courses delivered through Google Classroom or another third-party platform (see Section 5), are intended only for users age 13 and older. Preppy Prep does not knowingly allow anyone under the age of 13 to register for, enroll in, or otherwise access the Services, and Preppy Prep does not knowingly collect personal information from anyone under 13. By using the Services, you represent that you are at least 13 years old. If Preppy Prep learns that a user is under 13, we will terminate that user's access and delete the associated information as required by applicable law.
Parental/Guardian Consent (Minors). If a participant is under 18 years of age, registration and enrollment must be completed by a parent or legal guardian. By registering a minor for Preppy Prep Services, the parent or legal guardian:

confirms they have legal authority to consent on the minor's behalf;

agrees to be personally bound by these Terms, including the payment obligations in Section 7, the liability release in Section 9, and the dispute resolution provisions in Section 20, both on their own behalf and on behalf of the minor;

acknowledges the educational and no-advice disclaimers in Sections 2 and 3 apply to the minor's participation;
-
where the minor will access an online course through Google Classroom or a similar platform, consents to the minor creating and using a personal account with that third-party platform as described in Section 5; and
-
is responsible for supervising the minor's use of the Services where applicable.
Preppy Prep may request reasonable verification of parental/guardian consent or of a user's age, and reserves the right to decline or terminate enrollment absent such consent or verification.
We reserve the right to refuse service to anyone at our sole discretion.

5. Online Course Delivery; Google Classroom and Third-Party Platforms
Preppy Prep may deliver some or all of its online courses, materials, assignments, and communications using Google Classroom and other third-party learning platforms (collectively, "Third-Party Platforms"). This Section applies whenever Services are delivered through a Third-Party Platform.
Personal Accounts. Preppy Prep is an independent educational business and is not an accredited school; access to Google Classroom is provided through personal Google Accounts rather than a school-issued account. To participate in a Google Classroom-based course, a student (or, for a minor, the minor with parent/guardian consent under Section 4) must create and maintain a personal Google Account that meets Google's own eligibility, minimum-age, and account requirements. That account, and Preppy Prep's use of Google Classroom generally, is governed by Google's own Terms of Service and Privacy Policy, in addition to these Terms. Preppy Prep is not responsible for Google's account policies, platform availability, features, security, or any interruption, error, or change to Google Classroom or any other Third-Party Platform.
Data Shared with Third-Party Platforms. Delivering a course through Google Classroom or a similar platform may involve sharing a participant's name, email address, coursework, assignments, grades, and related participation data with that platform's operator, where it is processed under that operator's own terms and privacy practices. Additional information about what Preppy Prep collects and how it is used is available in our Privacy Policy (see Section 19).
Age Requirement for Online Courses. Consistent with Section 4, online courses delivered through Google Classroom or another Third-Party Platform are available only to users age 13 and older. Preppy Prep does not knowingly enroll, or collect information from, anyone under 13 in connection with these Services.
Platform Changes. Preppy Prep may change the Third-Party Platform(s) used to deliver a course at any time, including switching platforms mid-course, and will make reasonable efforts to notify enrolled participants of a material change.
Note: some states have enacted student data privacy laws (for example, California's Student Online Personal Information Protection Act, and comparable statutes in other states) that can apply to an operator whose service is designed and marketed for K-12 school purposes, even without a direct contract with a school or district. Because Preppy Prep markets its courses to private-school student populations, this section should be reviewed by counsel in light of the specific states in which Preppy Prep enrolls students before publication.

6. Registration and Account Responsibilities
If you create an account with Preppy Prep, you agree to provide accurate and current information, maintain the security of your login credentials, accept responsibility for all activities occurring under your account, and promptly notify us of unauthorized use.
Preppy Prep is not responsible for losses resulting from unauthorized access to your account.

7. Payments and Billing
All prices are listed in U.S. dollars unless otherwise stated. By purchasing Services, you agree to provide valid payment information, authorize applicable charges, pay all fees associated with your purchases, and comply with any payment terms presented at checkout.
Preppy Prep reserves the right to modify pricing at any time, refuse or cancel orders, and suspend Services for unpaid balances.
Third-Party Payment Processors. Payments are processed through third-party payment processors. Preppy Prep is not responsible for errors, interruptions, or security incidents caused by a payment processor, and your use of any payment processor is subject to that processor's own terms and privacy policy.

8. Refund and Cancellation Policy
Unless otherwise stated in writing, the following policy applies:
A. In-Person Classes, Workshops, Seminars, and Events

Cancellations requested at least fourteen (14) calendar days before the scheduled event qualify for a full refund or a transferable account credit.

Cancellations requested fewer than fourteen (14) calendar days before the event are not eligible for a refund.

No-shows are non-refundable.

Rescheduling may be permitted at Preppy Prep's sole discretion depending on class availability, event capacity, and timing of the request. Rescheduling is not guaranteed.
B. Digital Products and Online Educational Content
Due to the immediate access and downloadable nature of digital educational materials, the following are generally non-refundable: online courses, recorded webinars, downloadable PDFs, curriculum packages, worksheets, templates, digital memberships, and educational downloads.
Exceptions may be considered only in cases involving duplicate purchases, technical access failures caused by Preppy Prep, or as required under applicable consumer protection law. Preppy Prep reserves the right to evaluate refund requests on a case-by-case basis.
C. Memberships and Subscription Services
If Preppy Prep offers recurring memberships or subscription-based services: customers may cancel future renewals at any time; cancellations do not generate retroactive refunds for prior billing periods; and access may continue through the end of the current billing cycle.
D. Organization, School, and Group Bookings
Refunds for schools, churches, companies, organizations, or private group events may be governed by separate written agreements or service contracts. Deposits for reserved group instruction dates may be non-refundable unless otherwise stated in writing.
E. Company-Initiated Cancellations
If Preppy Prep cancels an event or class due to instructor unavailability, low enrollment, weather, a force majeure event (Section 25), or other unforeseen circumstances, customers may receive a refund, rescheduling opportunity, or transferable credit. Preppy Prep is not responsible for travel expenses, lodging costs, lost wages, or other incidental expenses.
F. Refund Processing
Approved refunds are typically processed within 7–14 business days, depending on payment provider processing times and financial institution policies. Refund timing cannot be guaranteed.
G. Chargebacks
Customers agree to contact Preppy Prep before initiating payment disputes or chargebacks. Fraudulent or abusive chargebacks may result in account suspension, denial of future services, and collection efforts where permitted by law.

9. Assumption of Risk and Release of Liability (In-Person Events)
Participation in in-person classes, workshops, seminars, or events involves inherent risks, including but not limited to the risk of personal injury. By participating (or, for a minor, through the consent of a parent or legal guardian under Section 4), you voluntarily assume all such risks.
To the fullest extent permitted by applicable law, you release and hold harmless Preppy Prep LLC, its owners, employees, instructors, affiliates, and representatives from any claims, injuries, damages, or losses arising from ordinary negligence in connection with in-person participation. This release does not apply to gross negligence or willful misconduct, and does not waive any rights that cannot be waived under applicable law.
Note: some states limit or prohibit a parent/guardian's ability to waive a minor's own claims. This section should be reviewed against the law of each state in which Preppy Prep operates.

10. Intellectual Property Rights
All content provided by Preppy Prep, including but not limited to logos, branding, course materials, worksheets, videos, graphics, presentations, curriculum, written content, downloads, and website materials, is the exclusive property of Preppy Prep LLC and is protected by applicable copyright, trademark, and intellectual property laws.
You may not copy, reproduce, distribute, modify, republish, sell, share, upload, or commercially exploit any Preppy Prep materials without prior written permission. All educational materials are licensed for personal, non-commercial use only.

11. Prohibited Conduct
You agree not to use the Services for unlawful purposes; infringe on intellectual property rights; interfere with website functionality; harass or disrupt instructors or participants; impersonate another person or entity; upload malicious software or harmful code; or attempt unauthorized access to systems or accounts.
Preppy Prep reserves the right to terminate access, without refund, for violations of these Terms.

12. Classroom, Webinar, and Community Conduct
Preppy Prep strives to maintain a respectful, professional, and educational environment. This includes any course delivered through Google Classroom or another Third-Party Platform under Section 5. Participants may be removed from classes, webinars, live events, group sessions, online communities, or a Third-Party Platform for disruptive, abusive, threatening, discriminatory, or inappropriate conduct, without refund.

13. Recording and Media Consent
Preppy Prep may record webinars, virtual sessions, classes, workshops, and live educational events for educational, quality assurance, promotional, or business purposes.
By participating in our Services (or, for a minor, through parent/guardian consent under Section 4), you consent to possible recording and use of your voice, image, likeness, comments, or participation, unless prohibited by law. If you do not wish to appear in recordings, please notify us in advance.

14. Testimonials and Endorsements
Testimonials, reviews, and endorsements shared by participants, parents, or schools reflect individual experiences and opinions. They are not guarantees of results, and individual outcomes will vary. Where Preppy Prep has a material connection with an individual providing a testimonial or endorsement, that connection will be disclosed in accordance with applicable FTC guidelines.

15. Third-Party Links and Resources
Our website or educational materials may contain links to third-party websites, products, or services, or may reference publicly available financial information, third-party tools, market examples, or external resources.
Preppy Prep is not responsible for third-party content, accuracy, availability, practices, or policies, and does not guarantee the accuracy, completeness, or reliability of third-party information. Use of third-party resources is at your own risk.

16. Disclaimer of Warranties
The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. Preppy Prep disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
We do not guarantee that the Services will be error-free, that access will be uninterrupted, or that content will always be accurate or current.

17. Limitation of Liability
To the fullest extent permitted by law, Preppy Prep LLC and its owners, employees, instructors, affiliates, and representatives shall not be liable for indirect, incidental, consequential, or special damages, or for loss of profits, loss of data, investment losses, or other financial damages, arising from or related to use of the Services.
Liability Cap. To the fullest extent permitted by law, Preppy Prep's total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the total amount you paid to Preppy Prep in the twelve (12) months preceding the event giving rise to the claim.
Your use of the Services is solely at your own risk. In jurisdictions where limitations of liability are restricted, liability shall be limited to the maximum extent permitted by law.

18. Indemnification
You agree to defend, indemnify, and hold harmless Preppy Prep LLC and its affiliates from claims, damages, liabilities, costs, and expenses arising from your use of the Services, violation of these Terms, misuse of educational materials, or violation of applicable laws or third-party rights.

19. Privacy and Electronic Communications
Your use of our Services is also governed by our Privacy Policy. By using our Services, you consent to the collection and use of information consistent with our Privacy Policy.
Third-Party Platforms. Where Services are delivered through Google Classroom or another Third-Party Platform, additional information is shared with that platform's operator as described in Section 5. That operator's own privacy practices govern its handling of that information.
Electronic Communications. By using the Services, you consent to receive communications from Preppy Prep electronically, including agreements, notices, disclosures, and other communications. Electronic communications satisfy any legal requirement that such communications be in writing.

20. Dispute Resolution; Arbitration Agreement; Class Action Waiver
Agreement to Arbitrate. You and Preppy Prep agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court.
Class Action Waiver. You and Preppy Prep agree that any arbitration or proceeding will be conducted only on an individual basis and not as a class, consolidated, or representative action.
Opt-Out. You may opt out of this arbitration agreement by notifying Preppy Prep in writing within 30 days of first accepting these Terms, using the contact information in Section 27. Opting out does not affect any other provision of these Terms.
Jury Trial Waiver. To the extent any dispute proceeds in court rather than arbitration, you and Preppy Prep each waive the right to a jury trial, to the fullest extent permitted by law.
Note: enforceability of arbitration agreements against minors, and the specific arbitration provider/rules to reference (e.g., AAA), should be confirmed with counsel before publishing.

21. Modifications to Terms
Preppy Prep reserves the right to modify these Terms at any time. Updated Terms become effective upon posting to the website. Continued use of the Services after changes constitutes acceptance of the revised Terms.

22. Governing Law and Venue
These Terms shall be governed by and interpreted under the laws of the State of Oklahoma, without regard to conflict of law principles. Subject to Section 20, any disputes arising from these Terms or the Services shall be resolved in the appropriate courts located in Oklahoma.

23. Entire Agreement
These Terms, together with the Privacy Policy and any separate written service agreement applicable to a school, organization, or group booking, constitute the entire agreement between you and Preppy Prep regarding the Services, and supersede any prior or contemporaneous agreements or understandings, written or oral.

24. Assignment
Preppy Prep may assign or transfer these Terms, in whole or in part, without notice, including in connection with a merger, acquisition, financing, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without Preppy Prep's prior written consent.

25. Force Majeure
Preppy Prep is not liable for any delay or failure to perform its obligations resulting from causes beyond its reasonable control, including acts of God, natural disaster, pandemic or public health emergency, government action, internet or technology failures, or labor disputes.

26. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
